1. Acceptance of This Agreement
This agreement (the "Agreement") governs your participation as an installation contractor on the TVPerch marketplace. By checking the acceptance box during your application and onboarding, and by performing any assignment arranged through TVPerch, you accept this Agreement. Your acceptance, including the version number and timestamp, is recorded with your application.
Version history: v1.0-draft established the original marketplace, payment, and conduct terms. v1.1-draft adds Sections 4 and 5 (contractor insurance obligations and claims cooperation), expands the contractor responsibility list in Section 2, and adds substantiated-claim grounds to Section 10. Prior versions are retained on file and remain the operative version for work accepted under them until you accept the current version.
This Agreement does not replace Stripe's own required terms: as part of Stripe Connect Express onboarding you will separately agree to Stripe's Connected Account Agreement and related payment terms, which govern your connected account and payouts. TVPerch does not modify or stand in for those terms.
How TVPerch's role and each contractor's status are characterized under worker-classification law is a legal question that varies by state and has been flagged for attorney review; the labels in this Agreement do not by themselves determine that status.
2. Contractor Relationship and Responsibilities
TVPerch operates a marketplace that connects customers with local, independent installation professionals. Participating contractors operate their own businesses. You are an independent business; you are not an employee, partner, or agent of TVPerch, and neither you nor TVPerch may bind the other. TVPerch does not guarantee any minimum or maximum amount of work, and you decide whether to accept an available assignment, subject to the responsibilities you take on once you accept one.
By participating, you are responsible for:
- performing the installations you accept safely and professionally;
- supplying appropriate tools and equipment;
- maintaining any licenses and permits legally required for your work;
- maintaining appropriate business liability insurance (see Section 4);
- managing your own personnel, helpers, and subcontractors;
- following applicable safety standards and laws;
- protecting customer property during your work;
- correcting installation deficiencies attributable to your work;
- cooperating with customer complaints and insurance claims (see Section 5);
- keeping the business and insurance information you provide to TVPerch accurate and current.
No insurance through TVPerch: participation in the TVPerch marketplace does not provide liability insurance or any other coverage through TVPerch. You remain responsible for arranging and maintaining your own insurance. Nothing in this Agreement eliminates TVPerch's own legal responsibilities, which are determined by law and by the separation between TVPerch's coordination role and your installation services.
3. Qualifications, Applications, and Compliance
Your application must be accurate and complete. TVPerch approves contractors administratively, and approval depends on the information you provide, your capabilities, and applicable legal requirements.
- Accurate information: false or misleading application information is grounds for declining or termination.
- Licenses: where a license or registration is legally required for work you accept, you must hold it and keep it current. TVPerch does not claim that every contractor is licensed in every jurisdiction.
- Insurance: TVPerch collects your insurance status, coverage information, carrier, policy details, expiration, and certificate of insurance during application and review; see Section 4.
- Safe work practices: perform work safely, use appropriate protective equipment, and decline work that cannot be done safely.
- Tools and transportation: maintain the tools and transportation appropriate for the assignments you accept.
- Background and verification: TVPerch does not advertise contractors as background-checked; any verification requirement is confirmed with you during onboarding before it applies to you.
4. Contractor Insurance Obligations
TVPerch proposes to require participating contractors to maintain appropriate commercial general liability coverage for their installation operations, throughout their participation. [ADMINISTRATOR TO CONFIRM: ] The specific minimum coverage limits, required coverage provisions, and the date these requirements begin to be enforced are set by TVPerch's administrator and communicated to contractors before they apply to them; they are not enforceable against existing contractors until approved and announced.
Appropriate coverage for TVPerch installation work should be considered against, among other things:
- third-party bodily injury;
- damage to customer property, including damage to the customer's television, mount, and surrounding property;
- accidents arising from installation activities;
- products and completed-operations exposure (work performed that later causes a loss);
- work performed by your helpers, personnel, or subcontractors.
Coverage caveat: general liability policies differ. Coverage for customer property in a contractor's care, custody, or control may require specific policy provisions, and not every general liability policy automatically covers damage to a customer's television or equipment. You are responsible for understanding what your policy covers.
While you participate in the TVPerch marketplace, you agree to:
- maintain the insurance TVPerch requires for your market throughout your participation;
- provide accurate proof of coverage during onboarding when required;
- provide renewal documentation before your policy expires;
- notify TVPerch promptly of any cancellation, expiration, suspension, or material change in your coverage;
- notify your insurer of potentially covered incidents as your policy requires;
- cooperate with legitimate customer claims and reasonable investigations (see Section 5);
- remain responsible for your contractual obligations even when insurance denies a claim, subject to applicable law.
Screening: TVPerch may review insurance documents during onboarding and periodically thereafter. Insurance screening is not a guarantee of continuous coverage, insurer solvency, or payment of any particular claim, and TVPerch does not state that every participating contractor is continuously insured or fully verified at all times.
5. Claims Cooperation and Incident Response
If a customer reports an installation problem, property damage, or injury potentially connected to your work, you agree to cooperate with TVPerch's review. Where your actions may have caused covered property damage or injury, you must cooperate with submitting the matter to the appropriate insurer as your policy requires.
- Prompt notice: tell TVPerch promptly about any incident, damage report, or potential claim connected to an assignment, so the matter can be documented.
- Documentation: provide accurate information, photographs, and records reasonably needed to review a claim, within a reasonable time.
- Corrective visits: where a verified workmanship problem exists and a corrective visit is appropriate, cooperate in arranging and performing it.
- Insurer submission: when a matter may be covered by your insurance, cooperate with reporting it to your insurer and with the insurer's process; coverage decisions belong to the insurer under the applicable policy.
- No unilateral admissions: do not admit liability on TVPerch's behalf or make promises of repair, replacement, or payment on TVPerch's behalf; liability and remedies are resolved through the review described in this Agreement and TVPerch's customer policies.
- TVPerch's role: TVPerch may coordinate communications and record claim details (insurer, claim reference, status, contacts, and outcome) in its administrative records. TVPerch is not an insurance carrier or claims adjuster, and nothing here promises that your insurance will cover any particular incident.
- Continuing responsibility: your obligations under this Agreement are not excused because insurance is unavailable, expired, or denied, subject to applicable law.
6. Professional Conduct
While performing assignments arranged through TVPerch, you agree to:
- communicate professionally and courteously with customers and TVPerch staff;
- arrive within the agreed window and communicate promptly about delays;
- treat customer property with care and leave the work area tidy;
- respect customer privacy: do not photograph or share anything beyond the job documentation the platform requires, and do not discuss customer information with anyone else;
- never charge a customer directly for additional amounts; any scope change is arranged through TVPerch and paid through the platform's secure payment process;
- never collect cash or checks from customers for TVPerch bookings;
- report damaged, incompatible, or missing equipment rather than improvising unsafe solutions;
- complete the job documentation the platform requires, including completion photographs.
7. Job Acceptance and Completion
TVPerch coordinates assignments centrally. When an assignment is offered to you, it will include the agreed scope, price, customer requirements, and scheduling window. If you accept, you are responsible for the job; if you must cancel an accepted job, notify TVPerch as early as possible so a replacement can be arranged. Repeated late cancellations may affect your standing on the platform.
For each completed job:
- report arrival and completion as directed by TVPerch;
- submit completion photographs through TVPerch's completion process before payment review;
- report any customer issue, damage, or jobsite concern through the platform so it is documented;
- cooperate with any administrative review of the job.
8. Contractor Payments
Compensation for each assignment is communicated to you when the assignment is made and reflects TVPerch's approved pricing for the job. TVPerch retains a portion of the customer price as its fee; the specifics of TVPerch's commission calculations are not part of this public document.
- Stripe Connect Express: contractor payments are made through Stripe Connect Express. You must complete Stripe's onboarding and identity verification before you can be paid; this is a Stripe requirement, and TVPerch cannot override it.
- Administrator approval: at launch, no payment is transferred automatically. After you submit completion photos, TVPerch reviews the job and an administrator must approve the payout before funds move.
- Transferred vs. paid: these are distinct stages. Funds are first transferred to your Stripe connected account ('transferred'); Stripe then pays the amount out to your bank account, which Stripe may confirm separately ('paid').
- Payment holds: payouts may be placed on administrative hold for review, open damage claims, disputes, refund or chargeback reconciliation, or suspected policy violations. You will be told the reason and may respond; holds are administrator decisions, never automatic, and earnings are not confiscated without a contractual and legal basis.
- Refunds and chargebacks: if a customer payment is refunded or disputed after funds were sent to you, TVPerch may open a recovery case and seek reversal of the affected amounts through Stripe. Reversals are executed only with administrator authorization; they are never automatic.
- Duplicate-payment protections: TVPerch maintains controls so a job is only ever paid once.
- Tax documentation: you are responsible for providing the tax documentation Stripe requires for payouts, and for your own tax obligations. Payment reporting follows Stripe's and applicable tax rules.
9. Customer Relationships
Customer information you receive through TVPerch (names, addresses, phone numbers, property details) is confidential. Use it only to perform the assigned job. Do not share it with others, do not use it for your own marketing, and do not store it beyond what your business legally requires.
Off-platform solicitation: during any engagement arranged through TVPerch and for a period of [ADMINISTRATOR TO CONFIRM: ] twelve months afterward (duration flagged for attorney review of enforceability across states), you agree not to solicit TVPerch customers introduced to you through TVPerch for directly competing installation services outside of TVPerch. Circumventing TVPerch's payment, safety, and accountability systems (for example, arranging additional paid work with a TVPerch customer off-platform during an active booking) is prohibited. This restriction is intentionally narrow; its enforceability varies by state and has been flagged for attorney review.
10. Suspension and Termination
TVPerch may suspend or terminate a contractor's participation for:
- fraud or misrepresentation, including false application information or fraudulent completion claims;
- safety violations or unsafe work practices;
- unprofessional conduct toward customers or TVPerch staff;
- repeated service problems, late cancellations, or declined-performance issues;
- serious or repeated substantiated damage claims, or refusal to cooperate with a reasonable claims review under Section 5;
- misuse of customer information or off-platform circumvention;
- material violations of this Agreement.
Where practical, TVPerch will notify you of the issue and may offer an opportunity to respond. Completed but unproven work remains subject to the payment process in Section 8; termination does not cancel compensation already approved for properly completed work, except where fraud, a refund, a chargeback, or an open claim requires review.
11. Changes, Notices, and Miscellaneous
TVPerch may update this Agreement as its operations, requirements, or laws change; the current version is always available on the Site with its version number. Material changes will be communicated to active contractors before taking effect, and continued participation after the effective date constitutes acceptance. This Agreement, together with Stripe's required terms and TVPerch's other applicable policies, forms the parties' entire agreement regarding marketplace participation.
